All content included on this Site and Service, such as text, graphics, logos, button icons, images, audio clips, data compilations, and software (collectively, "Content"), is the sole and exclusive property of Asian Import Store or its content suppliers and is protected against unauthorized use by United States and international copyright laws.

TRADEMARKS

Asian Import Store trademarks, service names, graphics, logos, images, content, page headers, button icons, and scripts, including ASIAN IMPORT STORE, are trade names, trademarks, services marks, or trade dress of Asian Import Store in the United States and/or other countries. Asian Import Store's trade names, trademarks, service marks and trade dress may not be used in connection with any product or service that is not Asian Import Store's, in any manner that is likely to cause confusion among customers, or in any manner that disparages or discredits Asian Import Store. All other marks not owned by Asian Import Store that appear on this Site and Service are the property of their respective owners, who may or may not be affiliated with, connected to, or sponsored by, Asian Import Store.

BRAND INTEGRITY

Resellers of Asian Import Store® brand merchandise including Fantado® and Quasimoon® may no longer sell our products through online mega-retailers such as eBay, Amazon (Merchant-Fulfilled and Amazon-Fulfilled), Sears and the like. This change in policy is in effort to help us protect the integrity of our brand, ensure the quality of our products, identify counterfeit products being sold through these mega-retail website and marketplaces, and to ensure that our products come with a consistently high level of customer service.

RESTRICTIONS ON USE OF CONTENT

You may access the Site and Service and the Content available on this Site and Service solely for the purpose of browsing for and purchasing products, in accordance with the applicable terms of this Agreement. Except as permitted above and as may be specifically agreed in writing by Asian Import Store, no Content from this Site and Service may be used, reproduced, transmitted, distributed, downloaded, displayed, modified or otherwise exploited in any way. All users agree to refrain from copying, modifying, reverse engineering, decompiling or disassembling any software code included in the Content.

LIMITED LICENSE AND SITE AND SERVICE ACCESS

Asian Import Store grants you a limited license to access and make use of this Site for the purpose of browsing for and purchasing products, and not to download or modify it, or any portion of it, except with the express written consent of Asian Import Store. This limited license does not include any resale or commercial use of this Site and Service or its contents; any collection and use of any listings, descriptions, or reviews; any derivative use of this Site and Service or its contents; or any use of data mining, robots, or similar data gathering or extraction tools. APPLICABLE LAW AND DISPUTES

This Agreement is governed by the laws of the State of California, USA, without regard to principles of conflict of laws. Any dispute relating to your use of services provided by Asian Import Store, or to this Agreement, shall be adjudicated in any state or federal court in California, and you consent to exclusive jurisdiction and venue in such courts.

POLICY ON USE OF IMAGES AND PRODUCT DESCRIPTIONS

We are happy to supply low resolution images and descriptions of our products to our wholesale customers for your use. Please note that you are authorized to use these images and descriptions solely in connection with the promotion of Asian Import Store products.

In exchange for a limited license to use these copyrighted images and descriptions, you further agree to:

• Always reference our brand name, Asian Import Store, Fantado® or Quasimoon® as applicable to the product, within each relevant product page.
• Not remove or alter the copyright notice that is included in the image and/or image file.

INDEMNITY

You agree to indemnify and hold Asian Import Store, and its parents, subsidiaries, and affiliates, and their respective officers, agents, partners and employees, harmless from any fines, loss, liability, claim, or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your use of the Site and Service and/or from any breach of this Agreement.

MISCELLANEOUS

This Agreement constitutes the entire agreement of the parties with respect to your use of the Site and Service. The terms in this Agreement may be modified by Asian Import Store at any time, and by you only with the prior written consent of Asian Import Store in each instance. Any claim with respect to your use of this Site and Service must be brought within one (1) year of the date that the claim arises. If any provision of this Agreement is held unenforceable, the remaining provisions will be enforced to the maximum extent possible. No waiver by Asian Import Store of any rights under this Agreement constitutes a waiver of any other right, or right to enforce any subsequent breach of this Agreement. In the event Asian Import Store is forced to enforce its rights against you, in addition to any other remedies, you agree to pay Asian Import Store's reasonable costs, including attorneys' fees and costs of suit.

MISCELLANEOUS

All accounts must be verified with a valid copy of resale/business license. At any time, we reserve the right to refuse or terminate any account at our discretion.

Effective August 1, 2020 opening minimum order is $449.

For reorders, the minimum order value must be at least $249 to receive the wholesale discounts.

Shipping rates are non-negotiable, and actual shipping charges will be charged according to the dimensional weight, size and destination of package (also charged when order ships).

If you would like to use your UPS/FedEx account, please provide us with your account number.

Applicants located in California are required to submit a valid reseller’s permit. Vendors that do not have a California resellers permit number, shipping or drop shipping within California will be charged California sales tax of 9.75%. CREDIT

Net 30 accounts are approved through Wells Fargo business credit after 1 year of business or 5 orders (whichever comes first). Please allow 4-6 weeks for NET 30 terms approval.

Credit references must include: your company must have a D&B number, five companies where you have an open account, fax number in addition to telephone number of those companies.

Customer will be responsible for any collection costs, penalties and accrued interest due to late payment.

All delinquent accounts will be reported to Dun & Bradstreet and other credit bureaus.

Returned checks: A $25.00 charge will be applied to customer's account for checks that are refused due to non-sufficient funds.
